Terms of Service

1.Who we are

These terms are an agreement between you and [PhsarOS legal entity — to be registered] (“PhsarOS”, “we”), the company that operates the PhsarOS service. Our registered address and company number will appear here and on the Contact page once incorporation completes. Where Cambodian law requires disclosure of a local operating entity, that entity is identified on the Contact page.

By opening a workspace or using the service you agree to these terms, our Acceptable Use Policy and our Privacy Policy. If you are opening a workspace for a business, you confirm you are authorised to bind that business.

2.The service

PhsarOS is web-based point-of-sale and shop-management software: a sales register, product and stock management, expense tracking, and reports that show the owner how the shop is doing. It is built for small shops, cafés and restaurants.

Two things PhsarOS is not:

• A payment processor. The register records sales — including cash sales — but PhsarOS does not move money between you and your customers and does not store their card details.
• An accounting or tax service. Reports are operational summaries of the data your shop enters. They are not audited accounts, tax filings, or financial advice.

3.Your account and staff access

You must be at least 18 years old to create an account. Keep your credentials confidential; you are responsible for activity under your account.

PhsarOS has two roles. The ADMIN (owner) controls the workspace — staff, products, expenses, reports and settings. STAFF accounts operate the register with restricted access. The ADMIN is responsible for the staff accounts they create, for removing access when someone leaves, and for making sure staff use the service lawfully. Staff accounts are for the shop's own workers, not for sharing outside the business.

4.Your shop's data

Your records are yours. Sales, products, stock levels, expenses and reports entered into your workspace belong to you. We claim no ownership of them.

You grant us the limited licence we need to operate the service: to store, process, back up and display your data to you and your staff. We use your shop's records to run the product and to keep it reliable — we do not sell them and we do not use them to build advertising profiles. Details, including how we handle any personal data inside your records, are in the Privacy Policy.

You can export your data from the product. If you close your workspace, we delete your records on the schedule described in the Privacy Policy.

5.Plans, billing and the beta

PhsarOS has three plans: Starter (free), Growth (US$19 per month) and Business (US$49 per month). They differ by store count, staff accounts and reporting access, as described on the pricing page.

• During the beta, everything is free, including Growth and Business. We will give you clear notice before any workspace starts being charged.
• Paid plans bill monthly in advance through our payment provider, Stripe. Your card details go to Stripe, not to us.
• You can upgrade, downgrade or cancel at any time in account settings — no email, no phone call. Cancellation takes effect at the end of the current billing period.
• Refunds and the EU/UK 14-day withdrawal right are covered in the Refund & Cancellation Policy.
• Prices exclude any taxes we are required to collect. We will give at least 30 days' notice of price changes, which apply from your next billing period.

6.Acceptable use

The Acceptable Use Policy is part of these terms. In short: use PhsarOS to run a lawful business, don't attack the service, don't abuse other people's data, and don't resell access.

7.Availability and beta status

PhsarOS is in beta. We aim for the service to be reliable, and the Security page describes how we protect it, but the service is provided “as is” and “as available”. Features may change, and occasional downtime or defects are possible. We do not currently offer an uptime guarantee or service credits.

Keep your own records of anything critical to your business — especially during the beta. Export regularly.

8.Intellectual property

We own the PhsarOS software, design and brand. You may not copy, modify, reverse engineer, or resell the service except as the law allows. Your data remains yours (§4). Feedback you choose to send us may be used to improve the product without obligation to you.

9.Liability

Nothing in these terms excludes liability that cannot be excluded by law — including for fraud, or for death or personal injury caused by negligence.

Subject to that: we are not liable for indirect or consequential losses (lost profits, lost business, lost data that you failed to export when we provided the means), and our total liability under these terms is capped at the greater of US$100 or the amount you paid us in the 12 months before the claim. During the free beta, that means the cap is US$100.

You are responsible for the legality of your own business — your licences, your taxes, your obligations to your customers and staff.

10.Suspension and termination

You may close your workspace at any time. We may suspend or terminate a workspace that seriously or repeatedly breaches these terms or the Acceptable Use Policy. Except where the breach is severe or the law requires immediate action, we will warn you and give you a chance to fix the problem first, and the appeals process applies. After termination you have 30 days to export your data before deletion begins.

11.Changes to these terms

We may update these terms as the product and the law evolve. For material changes we will give at least 30 days' notice by email or in the product. If you keep using PhsarOS after the change takes effect, the new terms apply; if you disagree, cancel before the effective date and any prepaid, unused period will be refunded.

12.Governing law

These terms are governed by the laws of [jurisdiction of the registered entity — to be confirmed], and its courts have exclusive jurisdiction — except that consumers keep any mandatory protections and venue rights of the country where they live.

13.Provisions for Cambodia

For customers in Cambodia: these terms are intended to comply with the Law on Electronic Commerce (2019) and the Law on Consumer Protection (2019). Seller identity and contact details required by those laws appear on the Contact page. Nothing in these terms limits rights that Cambodian consumer law grants and does not allow to be waived. A Khmer translation of the consumer-facing summary is planned; if there is any conflict between versions, the version required by local law prevails for Cambodian consumers.
